Structure for the dispute, not only the closing

A deal should still make sense when obligations are tested and the people reading the documents were not in the room.

A transaction is usually presented in its cooperative state: the parties agree, the assumptions hold, and everyone wants the closing to happen.

The documents need to work in the opposite state. Obligations are disputed. Commitments are tested. A court, creditor, regulator, or liquidator reads the file without the benefit of the conversations that produced it.

That changes how I look at structure. Ask what happens when the forecast fails, who must still perform, what evidence survives, and whether the written explanation is one you would be prepared to repeat under challenge.

Do not invent the first explanation. Later documents rarely patch it. They usually preserve the shape of the original problem.
